The virtual AGM, conducted from Mangaluru, was presided over by chairman Pradeep Kumar P. and attended by managing director and chief executive officer Raghavendra S. Bhat, according to a bank release.

Shareholders gave the nod to a final dividend of ₹5 per equity share for the financial year 2025‑26, reflecting the bank’s earnings distribution policy.

The meeting also saw the approval of the audited standalone and consolidated financial statements for FY 2025‑26, together with the accompanying reports of the directors and auditors.

Board changes were a key part of the agenda: B.R. Ashok was re‑appointed as a non‑executive, non‑independent director; Biji S.S. was appointed as an executive director; and M. Aruna Shyam and Parthasarathi Periaswamy were named as non‑executive independent directors.

In addition, the chartered accountants firm Batliboi & Purohit was appointed as the joint statutory auditors of Karnataka Bank.

All seven resolutions were passed with the requisite majority, signalling strong shareholder endorsement of the bank’s strategic and governance decisions.
