Reports reveal family disagreement over TVS ownership and succession

Differences over ownership and succession within Venu Srinivasan’s family have surfaced in reports published on October 10. The disagreement concerns interests in TVS Motor Company and its holding firm, TVS Holdings, rather than an announced change of control.
The Hindu reported that the dispute involves Venu Srinivasan, his wife Mallika Srinivasan and their children, Lakshmi Venu and Sudarshan Venu. PTI separately reported that Mallika was encouraging an amicable settlement, citing industry sources.
A central issue is the interpretation of Sudarshan’s significant beneficial ownership disclosure. TVS Holdings filings record April 16, 2025, as the acquisition date of his beneficial interests through VS Trust and Srinivasan Trust. The declaration itself does not establish that every disputed ownership question has been resolved.
The family also differs over a memorandum dated March 20, 2024, and executed the following day. Its publicly disclosed terms address non-compete obligations and restrictions on using TVS trademarks in specified businesses. TVS Holdings said it was not a party to the agreement.
An executive quoted by The Hindu said Lakshmi sought an equal share of the business and that Mallika supported a negotiated solution. Those accounts describe the position attributed to that side of the family, rather than a legal determination of entitlement.
The dispute sits within a broader restructuring following a December 2020 family arrangement covering four TVS branches. TVS Holdings holds 50.26 percent of TVS Motor, while a separate Sundaram-Clayton entity houses the die-casting business.
Corporate lawyer Karthik Sheshadri told The Hindu that the underlying document supporting a beneficial ownership declaration must be examined. A trust deed, arrangement or transfer document can provide that basis, he said.
